These terms govern the use of the SourceFlora website, marketplace, procurement services, client dashboards, seller dashboards, and related business tools. Orders, quotes, subscriptions, deliveries, and marketplace activity are subject to review, availability, routing decisions, payment confirmation, and operational capacity. SourceFlora may update product availability, pricing, delivery timing, routing, account access, or service processes where reasonably required for operations, risk control, supplier performance, or platform integrity. Users must provide accurate account information, authorised contact details, and complete delivery instructions.

1. SCOPE AND ACCEPTANCE
These Terms govern use of SourceFlora, including the public floral marketplace, client auction-procurement services, memberships, seller and supplier portals, payments, fulfilment, delivery and support. By creating an account, submitting an order, purchasing a membership or completing payment, you agree to the terms that apply to that transaction.
2. MARKETPLACE SALES
Marketplace products are offered as listed stock or seller-fulfilled products. Product availability, quantities, condition, lead times and delivery/collection arrangements must be confirmed through the checkout and fulfilment workflow. Marketplace and other standard commerce payments use Ozow; PayFast may later be offered for product purchases only if approved and enabled.
3. MANAGED AUCTION PROCUREMENT
Auction catalogue requests are a managed procurement service and are operationally separate from the public marketplace. SourceFlora may collect a procurement deposit, source requested flowers through approved auction/market channels, record actual quantities and buying prices, then issue a reconciled final invoice. Estimated catalogue prices are not a guarantee of the final auction price. Auction deposits and final auction balances are routed through Ozow or another specifically approved auction-payment method and are not processed through PayFast.
4. MEMBERSHIPS AND PORTAL ACCESS
Client, seller and supplier memberships provide access to the features described for the selected tier and billing term. Access may be suspended on expiry, non-payment, abuse, fraud risk or material breach. Fees, renewal dates and included features are shown before purchase.
5. PRICING, TAX AND PAYMENT
All amounts are shown in South African Rand unless stated otherwise. Applicable VAT, delivery, handling, procurement or service charges are disclosed in the relevant quote, invoice or checkout. A payment is treated as confirmed only after SourceFlora receives a valid provider confirmation or completes an authorised manual reconciliation.
6. PERISHABLE PRODUCTS AND QUALITY
Flowers and plants are perishable and naturally variable. Reasonable variation in colour, maturity, stem form and availability may occur. Nothing in these Terms removes any non-waivable rights a customer may have under South African consumer law.
7. ACCOUNT RESPONSIBILITIES
Users must provide accurate information, protect their login credentials, use the correct portal role, and provide complete delivery or collection instructions. SourceFlora may investigate suspicious activity and restrict access where necessary to protect customers, sellers, suppliers or the platform.
8. CANCELLATION, REFUNDS AND DELIVERY
The separate Cancellation Policy, Refund Policy and Delivery Policy form part of these Terms.
9. THIRD-PARTY SERVICES
SourceFlora uses third parties such as payment processors, messaging providers, couriers, analytics/security providers and infrastructure hosts. Those providers may apply their own service terms and processing rules.
10. GOVERNING LAW
These Terms are governed by the laws of the Republic of South Africa. Disputes should first be raised through SourceFlora support so that the parties can attempt a practical resolution before other lawful remedies are pursued.
